1. Acceptance of Terms

Welcome to Sell4Me. By accessing or using our mobile application and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Sell4Me ("we," "us," or "our").

If you do not agree to these Terms, you may not access or use the Service. By creating an account, posting content, or using any aspect of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on the Service. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

2. Description of Service

Sell4Me is a mobile marketplace platform that enables individuals and businesses to create digital storefronts, list products for sale, manage inventory, process orders, and transact with buyers. Our Service provides tools for:

• Creating and customizing your online store
• Listing products with photos, descriptions, and pricing
• Managing orders and fulfillment
• Processing payments through integrated payment systems
• Tracking shipments and deliveries
• Accessing sales analytics and reporting
• Communicating with customers
• Promoting products through various channels

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation.

3. Eligibility and Account Registration

To use the Service, you must be at least 18 years old and have the legal capacity to enter into a binding contract. If you are using the Service on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

When registering for an account, you agree to provide accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.

You may not use a username or email address that is already taken, impersonates someone else, violates the rights of any party, or is otherwise offensive. We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

4. Seller Responsibilities and Obligations

As a seller on Sell4Me, you are solely responsible for the products you list, the content you provide, and your interactions with buyers. You represent and warrant that:

• All products you list are legal, authentic, and accurately described
• You have the right to sell the products you list
• Your listings comply with all applicable laws, regulations, and our policies
• You will fulfill orders promptly and accurately
• You will respond to buyer inquiries in a timely and professional manner
• You will not engage in any deceptive, fraudulent, or illegal activities
• You will not manipulate prices, reviews, or any aspect of the marketplace
• You will not list counterfeit, stolen, or infringing products

You agree to comply with all export control laws and regulations. You are responsible for determining whether your products are subject to export restrictions and obtaining any necessary licenses or permits.

5. Product Listings and Content

You retain ownership of all content you submit to the Service, including product listings, photos, descriptions, videos, and reviews. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with providing the Service.

You represent that you have the right to grant this license and that the content does not infringe on the intellectual property rights, privacy rights, or other rights of any third party. You are solely responsible for ensuring that your content is accurate, lawful, and does not violate any applicable laws.

We reserve the right to remove any content that violates these Terms, is inaccurate, or is otherwise objectionable. We do not guarantee the accuracy, completeness, or quality of any content posted by users.

6. Pricing and Payment Terms

As a seller, you set your own product prices. You are responsible for ensuring that your prices are competitive, legal, and accurately reflect the value of your products. You must not engage in price manipulation, false advertising, or deceptive pricing practices.

Sell4Me may charge transaction fees, listing fees, payment processing fees, or other charges for using the Service. All applicable fees will be clearly disclosed and are subject to change with prior notice. You authorize us to deduct fees directly from your sales proceeds.

Payment for orders will be processed through our integrated payment system. Funds from completed sales will be transferred to your linked bank account according to our standard payout schedule. You are responsible for providing accurate banking information and ensuring your account can receive transfers.

We reserve the right to hold payments, withhold funds, or offset amounts if we suspect fraudulent activity, policy violations, or if there are pending disputes or chargebacks related to your account.

7. Shipping and Fulfillment

Sellers are responsible for shipping products in a timely manner after receiving orders. You must provide accurate shipping information, use appropriate packaging, and ship items as described in your listings.

You agree to provide valid tracking information for all shipments and update order status promptly. Failure to ship items in a timely manner may result in order cancellations, refunds to buyers, and penalties to your seller account.

International shipments are subject to additional requirements, including customs declarations, import duties, and compliance with export and import laws. Sellers are responsible for any additional costs associated with international shipping.

8. Returns, Refunds, and Disputes

Sellers are responsible for establishing and communicating their return and refund policies. You must process returns and refunds in accordance with your stated policies and applicable consumer protection laws.

If a buyer files a dispute or chargeback, we may temporarily hold funds from your account while the matter is investigated. We reserve the right to issue refunds to buyers from your account balance if a dispute is resolved in the buyer's favor.

We encourage sellers to resolve disputes directly with buyers in a professional manner. However, we may intervene in disputes to protect buyers, maintain marketplace integrity, or comply with legal requirements.

9. Intellectual Property Rights

The Service, including all software, designs, logos, trademarks, text, graphics, and other content, is owned by or licensed to Sell4Me and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

You retain ownership of your original content but grant us and our affiliates a non-exclusive license to use such content in connection with the Service. You represent that you have the right to use any content you submit and that it does not infringe on the intellectual property rights of others.

We respect the intellectual property rights of others and expect users to do the same. We may remove content that allegedly infringes copyright and terminate accounts of repeat infringers.

10. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, disclose, and safeguard your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

You are responsible for protecting any personal information of your customers or users that you collect through the Service. You must comply with all applicable privacy laws and regulations and use personal information only for legitimate business purposes.

We implement appropriate technical and organizational measures to protect your data. However, no method of transmission over the Internet or electronic storage is completely secure, and we cannot guarantee absolute security.

11. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Posting false, misleading, or deceptive content
• Manipulating prices, search rankings, or reviews

• Attempting to gain unauthorized access to the Service or other accounts
• Interfering with the proper functioning of the Service
• Harassing, threatening, or intimidating other users

12. Termination and Suspension

You may terminate your account at any time by contacting us or using the account deletion feature in the app. Upon termination, we will process any pending transactions and transfer remaining funds to your linked account within a reasonable time period.

We may suspend or terminate your account, restrict access to the Service, or remove content at any time, with or without cause, and with or without notice. Grounds for termination may include, but are not limited to:

• Violation of these Terms or any applicable policies
• Fraudulent, illegal, or harmful activities
• Non-payment of fees or disputed charges
• Abuse of other users or failure to resolve disputes
• Failure to maintain accurate account information
• Request by law enforcement or regulatory authorities

Upon termination, you will lose access to your account and any data associated with it. We are not obligated to provide you with access to your account, data, or any content after termination.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free. We do not guarantee the accuracy, completeness, or reliability of any content, data, or information provided through the Service. Your use of the Service is at your sole risk.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SELL4ME AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

The limitations of liability apply regardless of whether the claim is based on warranty, contract, tort, strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

15. Indemnification

You agree to indemnify, defend, and hold harmless Sell4Me and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to:

• Your use of the Service
• Your violation of these Terms or any applicable laws
• Your infringement of any third-party rights
• Your products, listings, or content
• Your interactions with other users
• Any negligent or wrongful act or omission by you

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Sell4Me is headquartered, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction for any disputes arising from or related to these Terms or the Service.

Before initiating any dispute resolution process, you agree to first contact us at support@sell4me.com to attempt to resolve the issue informally. If we cannot resolve the dispute within thirty (30) days, either party may proceed with formal dispute resolution.

You acknowledge that breach of this Section may cause irreparable harm to Sell4Me and that injunctive relief may be appropriate in addition to other remedies.

17. Arbitration Agreement

By using the Service, you agree that any dispute, claim, or controversy arising from or related to these Terms or your use of the Service shall be resolved through binding arbitration administered by a recognized arbitration organization, rather than in court.

A single arbitrator will conduct the arbitration in accordance with the rules of the selected arbitration organization. The arbitration will take place in the jurisdiction where Sell4Me is headquartered, or another mutually agreed location. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

You acknowledge that you are waiving your right to a trial by jury and your right to participate in a class action lawsuit or class-wide arbitration.

18. Modifications to Service

We may modify, update, or discontinue any aspect of the Service at any time, with or without notice. We may add, remove, or modify features, functionalities, or content. We shall not be liable to you or any third party for any modification, update, suspension, or discontinuation.

From time to time, we may release updates, new features, or new versions of the Service. These Terms will apply to all such updates, new features, and new versions. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.

19. General Provisions

These Terms constitute the entire agreement between you and Sell4Me regarding your use of the Service and supersede all prior agreements, understandings, and representations.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
